CHAPTER I - Name, Headquarters, Forum, Duration and Purposes

Art. 1 — Name and Legal Nature

INSTITUTO CAMPINEIRO DOS CEGOS WORKERS, also known by the acronym ICCT, founded in 1933, is a civil association under private law, non-profit, of a socio-assistance nature, with an indefinite duration, governed by this Statute and applicable legislation, in particular the Brazilian Civil Code and Federal Law nº 13.019/2014 (MROSC).

Article 2 — Headquarters, Forum and Territorial Scope

The ICCT has its headquarters and jurisdiction in the municipality of Campinas, State of São Paulo, at Avenida Washington Luiz, nº 570, Bairro Vila Marieta, CEP 13042-005, and can operate and install service units in the Metropolitan Region of Campinas (RMC) and throughout the national territory.

Article 3 — Social assistance purposes

ICCT's main purposes are: I - Promote the qualification, rehabilitation, education, professional training and social inclusion of people with visual impairments (blindness and low vision); II - Offer 100% free and continuous care without any discrimination based on race, color, gender, religion or social class; III - Defend human rights, universal accessibility (LBI - Law nº 13,146/15) and strengthening family ties; IV - Produce and disseminate works in Braille, audio description and assistive technologies.

Article 4 — Political and Religious Neutrality

In carrying out its activities, the ICCT will observe the principles of legality, impersonality, morality, publicity, efficiency, effectiveness and economy, and will not make any distinction regarding race, color, sex, religion or political ideology.

Article 6 — Member Categories

ICCT's membership is made up of an unlimited number of members, distributed into the following categories: I - Founders: those who signed the institution's founding minutes; II - Effective: individuals or legal entities who regularly contribute to the maintenance of the entity; III - Benefactors and Honoraries: individuals or legal entities that provide relevant services to the ICCT or to the cause of visual inclusion.

Article 7 — Associate Rights

The rights of effective members in compliance with their obligations are: I - Taking part in General Assemblies, debating and voting on matters on the agenda; II - Vote and be voted for the positions of the Executive Board and Fiscal Council; III - Present suggestions and proposals of social interest to the Board.

Article 8 — Duties of Associates

The duties of members are: I - Comply with and enforce these Statutes, the internal regulations and the deliberations of the Assemblies; II - Ensure the good name and moral and material heritage of the ICCT; III - Carry out the positions for which they are elected with care and ethics.

Article 10 — Lack of Subsidiary Liability

ICCT associates, advisors and directors are not responsible, not even subsidiarily, for the social obligations or commitments assumed by the institution in the regular exercise of its functions.

Article 13 — Institutional Governance Bodies

The ICCT's administration, deliberation and supervision bodies are: I - General Assembly; II - Executive Board; III - Fiscal Council; IV - Advisory Council.

Article 14 — From the General Assembly

The General Assembly, sovereign in its decisions, is the supreme body of the ICCT, made up of all members who are qualified to exercise their statutory rights, meeting Ordinarily once a year and Extraordinarily whenever called under the terms of this Statute.

Article 18 — From the Executive Board

The Executive Board is the executive and administrative representation body of the institution, composed of: President, Vice-President, 1st Secretary, 2nd Secretary, 1st Treasurer and 2nd Treasurer, elected by the General Assembly for a term of office of 4 (four) years, with re-election permitted.

Article 22 — Duties of the President

The President is responsible for: I - Representing the ICCT in court or out of court, actively and passively; II - Convene and preside over Board meetings and General Assemblies; III - Sign, together with the 1st Treasurer, checks, bank transactions, agreements, MROSC collaboration terms and contracts.

Article 25 — From the Fiscal Council

The Fiscal Council is the supervisory body for ICCT's financial and asset management, composed of 3 (three) effective members and up to 3 (three) alternates, elected together with the Executive Board for a 4-year term, meeting ordinarily every quarter.

CHAPTER V - Assets, Revenues and Resources

Article 35 — Full Application of Resources and Profit Prohibition

ICCT's assets and revenues are intended exclusively for achieving its statutory purposes in the country. The distribution, among its associates, advisors, directors, donors or employees, of any operational surpluses, dividends, bonuses, shares or portions of its assets is expressly prohibited.

Article 36 — Constitution of Heritage

ICCT's assets are made up of movable and immovable assets, vehicles, donations, legacies, public subsidies, revenues from the Solidarity Bazaar and amounts collected in the course of its activities.

CHAPTER VII - Statutory Amendments and Dissolution

Article 46 — Statutory Reform

These Bylaws may be amended at any time by decision of an Extraordinary General Assembly specially convened for this purpose, requiring the concurrence of two thirds of those present, and it cannot deliberate, on first call, without an absolute majority of members.

Article 49 — Destination of Assets in the Event of Dissolution

In the event of dissolution or extinction of the ICCT, once the liabilities have been settled, the remaining net assets will be transferred to another social assistance institution of the same nature, registered with the CMAS of Campinas and holder of the CEBAS certificate, or to the public assets of the Municipality of Campinas.
